Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Niilox Communications (“Niilox”, “we”, “us”) for access to Niilox API, including our APIs, SDKs, developer portal, messaging, voice, video, numbers, and related services (the “Services”).

By creating an account, obtaining API keys, or using the Services, you agree to these Terms and our Privacy Policy, Cookie Policy, and Acceptable Use Policy.

1. The Services

Niilox provides a multi-tenant communications platform (CPaaS): REST and WebSocket APIs, SMS and voice, realtime messaging, adaptive WebRTC, phone numbers, and developer tooling. Features may vary by plan, region, and tenant configuration. We may update, improve, or discontinue features with reasonable notice when material.

2. Accounts and API keys

• You must provide accurate registration information and keep credentials secure.
• You are responsible for all activity under your tenant, API keys, and user accounts.
• Do not share secret keys publicly. Rotate keys if compromised.
• We may suspend access for security incidents, unpaid invoices, or Acceptable Use violations.

3. Your content and communications

You retain rights to content and communications you send through the Services (“Customer Data”). You grant us a limited license to process Customer Data solely to provide, secure, and improve the Services, and to comply with law. You represent that you have all rights and consents required to send messages, place calls, and process end-user data under applicable telecom and privacy laws.

4. Fees and billing

Paid plans, usage (SMS, voice minutes, numbers, media), and platform credits are billed as shown in the portal or your order form. Fees are generally non-refundable except where required by law. You authorize us and our payment processors to charge your payment method for amounts due.

5. Compliance and telecom rules

You must comply with all laws in every country where you send or receive communications, including spam, telemarketing, consumer protection, recording-consent, and carrier policies. Number rental and SMS delivery are subject to local regulations and carrier filtering outside our control.

6. Acceptable use

You must follow our Acceptable Use Policy. Prohibited uses include unlawful content, spam, phishing, harassment, and attempts to abuse or overload the platform.

7. Intellectual property

The Services, documentation, SDKs, and branding are owned by Niilox Communications or its licensors. We grant you a limited, non-exclusive license to use them only to integrate with the Services. You may not reverse engineer, resell access as an unauthorized white-label of Niilox itself without a written agreement, or remove proprietary notices.

8. Confidentiality

Each party will protect the other’s non-public information with reasonable care and use it only for the relationship under these Terms, except where disclosure is required by law.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee uninterrupted delivery of SMS, voice, or media; carriers and networks may block or delay traffic.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Niilox WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICES IN ANY TWELVE-MONTH PERIOD IS LIMITED TO THE FEES YOU PAID US FOR THE SERVICES IN THAT PERIOD (OR €100 IF GREATER AND REQUIRED BY LAW).

11. Indemnity

You will defend and indemnify Niilox Communications against claims arising from your Customer Data, your end users, your violation of law or these Terms, or your misuse of numbers and messaging channels.

12. Suspension and termination

You may stop using the Services and request account deletion as described in Delete account. We may suspend or terminate for breach, abuse, non-payment, or legal risk. Upon termination, your right to use the Services ends; we may delete or anonymize Customer Data after a retention window unless law requires longer storage.

13. Changes

We may update these Terms by posting a revised version with a new “Last updated” date. Material changes for paying customers will be notified via the portal or email when practical. Continued use after the effective date constitutes acceptance.

14. Governing law

These Terms are governed by the laws of Finland, excluding conflict-of-law rules, unless mandatory consumer or local law requires otherwise. Courts in Finland have exclusive jurisdiction, subject to mandatory rights you may have in your country of residence.
